Welcome to Ingenius
These Terms of Service ("Terms") govern your access to and use of the website, web application, beta and early-access programs, APIs, software, tools, and services (together or individually, the "Service") offered by Ingenius Studio, Inc. ("Ingenius Studio," "Ingenius," "we," "our," "us," or "Company"). "You" refers to you as a user of the Service, and, where you access the Service on behalf of an organization, to that organization.
Your privacy is important to us. Our Privacy Policy explains how we collect, safeguard, and disclose information that results from your use of the Service, and also governs your use of the Service. Please read it here: Privacy Policy.
Please read these Terms carefully. By accessing or using the Service, clicking "I agree," executing an order form or agreement that references these Terms, or otherwise indicating your acceptance, you represent and warrant that you have read, understand, and agree to be bound by these Terms. If you are entering into these Terms on behalf of an entity, you represent that you have the authority to bind that entity. If you do not agree, do not access or use the Service.
Ingenius Studio Community Standards
To ensure Ingenius Studio remains a trusted platform for all users, we have created these standards outlining what is and is not permitted on Ingenius Studio. Our priority is the safety of our users and their audiences. We ask all users to review these standards thoroughly. By using Ingenius Studio, all users agree to abide by these standards.
Account Terms
No Use by Minors Under 16
The Service is intended only for access and use by individuals at least sixteen (16) years old. By accessing or using any part of Ingenius Studio, you warrant and represent that you are at least sixteen (16) years of age and have the full authority, right, and capacity to enter into this agreement and abide by all of the terms and conditions of these Terms. If you are not at least sixteen (16) years old, you are prohibited from both access and usage of the Service.
Account Creation
When you create an account with us, you guarantee that you are above the age of 16 and that the information you provide is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account.
You are responsible for maintaining the confidentiality of your account and password, including but not limited to restricting access to your computer and/or account. You agree to accept responsibility for any and all activities or actions that occur under your account and/or password, whether your password is with our Service or a third-party service. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
You may not use as a username the name of another person or entity, a name not lawfully available for use, or a name or trademark subject to any rights of another person or entity without appropriate authorization. You may not use as a username any name that is offensive, vulgar, or obscene.
We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders in our sole discretion.
Communications
By creating an account on our Service, you agree to receive newsletters, marketing or promotional materials, and other information we may send. You may opt out of receiving any or all of these communications by following the unsubscribe link or by emailing us at support@ingenius.studio.
Beta, Early Access, and Preview Programs
From time to time, Ingenius Studio may offer access to features, products, tools, or services that are identified as alpha, beta, early access, preview, evaluation, experimental, or otherwise not yet generally available ("Beta Services"). This section applies to your use of any Beta Services.
Your participation in a specific beta program (for example, the Brand Studio by INGENIUS closed beta) may also be governed by separate supplemental beta terms presented to you at the time of access ("Supplemental Beta Terms"). Where Supplemental Beta Terms apply, they supplement these Terms, and in the event of a conflict the Supplemental Beta Terms control with respect to that beta program. This section otherwise supersedes any conflicting terms elsewhere in these Terms with respect to Beta Services.
Limited Evaluation Right. Unless otherwise stated in applicable Supplemental Beta Terms, Beta Services are made available under a limited, non-exclusive, non-transferable, revocable right to access the Beta Services for your internal evaluation purposes only, for the duration of the evaluation period communicated to you. Access is limited to the seats and profiles provisioned by Ingenius Studio, and login credentials are personal to you and may not be shared.
Evaluation Use Only. The Beta Services, and all outputs, scores, reports, data, and materials generated by or accessed through them ("Beta Outputs"), are for internal evaluation only. You shall not: use the Beta Services or any Beta Output for any commercial purpose or in connection with any client engagement, pitch, or deliverable; present, display, distribute, or disclose any Beta Output to any client, talent, investor, or other third party; incorporate any Beta Output into any third-party product, service, framework, index, scoring system, methodology, or client-facing material; export, scrape, download, or systematically copy data or outputs except where an export function is expressly enabled for your account; benchmark the Beta Services or publish any evaluation of them, or use them to develop, train, or improve any competing product or service; or reverse engineer, decompile, or attempt to derive the methodologies, models, weights, inputs, or data sources underlying the Beta Services.
Provided "AS IS." Beta Services and Beta Outputs are provided on an "AS IS" and "AS AVAILABLE" basis for evaluation purposes only, without warranties of any kind, express or implied. Beta Services may contain bugs, errors, and defects, may be incomplete, and may not perform as intended. Beta Outputs are pre-release, may be inaccurate or incomplete, and must not be relied upon for any business, investment, or talent decision.
No Service Levels or Support Commitments. Beta Services are excluded from any service-level agreement, uptime commitment, security commitment, or support obligation, whether stated in these Terms or any other agreement, unless expressly agreed in a signed writing by an authorized officer of Ingenius Studio.
Right to Modify or Discontinue. We may add, change, suspend, limit, or discontinue any Beta Service, and may suspend or revoke your Beta access, in whole or in part, at any time, with or without cause, and without notice or liability to you. Beta Services may never become generally available.
Data. We may delete or lose data submitted to or generated through Beta Services at any time. You are solely responsible for maintaining backups of your data. You should not use Beta Services to store or process production, sensitive, regulated, or mission-critical data.
Confidentiality. The Beta Services are confidential, pre-release software. Their existence, features, functionality, performance, all Beta Outputs, all pricing communicated in connection with the Beta Services, all related documentation, and all feedback exchanged are the Confidential Information of Ingenius Studio. You agree not to disclose any information about the Beta Services, publish benchmarks or performance results, or share access with any third party without our prior written consent, during and after the evaluation period.
Intellectual Property; No License. Ingenius Studio and its licensors retain all right, title, and interest in and to the Beta Services, the Beta Outputs, and all underlying technology, data, methodologies, and scoring frameworks. Participation grants you no license, ownership, or other right in any Ingenius Studio intellectual property except the limited evaluation right above. Ingenius Studio's scoring frameworks and methodologies are trade secrets; nothing in the Beta Services discloses, and you acquire no rights in, their inputs, weights, formulas, or logic.
Feedback License. You may choose, or we may invite you, to provide suggestions, comments, bug reports, ideas, or other feedback regarding the Service, including the Beta Services ("Feedback"), and you agree to provide reasonable feedback during the evaluation period, including any check-in or survey we request. You hereby assign to Ingenius Studio all right, title, and interest in the Feedback and grant a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sublicensable, and transferable license to use, reproduce, modify, distribute, commercialize, and otherwise exploit the Feedback and incorporate it into the Service or any Ingenius Studio product or service, without any obligation, attribution, or compensation to you.
Conversion. Continued access after the evaluation period requires a paid license at the pricing communicated to you, and no terms of any future license are agreed until set out in a signed order form or executed agreement. Beta liability limitations, including any cap stated in applicable Supplemental Beta Terms, apply to your use of the Beta Services.
Prohibited Uses
You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:
In any way that violates any applicable national or international law or regulation.
For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content or otherwise.
To transmit, or procure the sending of, any advertising or promotional material, including any junk mail, chain letter, spam, or any other similar solicitation.
To impersonate or attempt to impersonate Ingenius Studio, an Ingenius Studio employee, another user, or any other person or entity.
In any way that infringes upon the rights of others, or that is illegal, threatening, fraudulent, or harmful, or in connection with any unlawful, illegal, fraudulent, or harmful purpose or activity.
To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by us, may harm or offend Ingenius Studio or users of the Service or expose them to liability.
Additionally, you agree not to, and not to permit or enable any third party to:
Use the Service in any manner that could disable, overburden, damage, or impair the Service or interfere with any other party's use of the Service, including their ability to engage in real-time activities through the Service.
Use any robot, spider, scraper, or other automated device, process, or means to access, monitor, index, or copy any material on the Service, except as expressly permitted by us in writing or through documented APIs.
Use any manual process to monitor or copy any material on the Service or for any other unauthorized purpose without our prior written consent.
Use any device, software, or routine that interferes with the proper working of the Service.
Introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
Attempt to gain unauthorized access to, interfere with, damage, or disrupt any part of the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service.
Attack the Service via a denial-of-service attack or a distributed denial-of-service attack.
Take any action that may damage or falsify any Company rating, review, metric, or output.
Reverse engineer, decompile, disassemble, or otherwise attempt to discover or derive the source code, underlying ideas, algorithms, model weights, prompts, prompt structures, training data, file formats, or methodologies of the Service, except to the limited extent this restriction is prohibited by applicable law.
Copy, modify, translate, or create derivative works of the Service or any part of it, or remove, obscure, or alter any proprietary notices.
Rent, lease, lend, sell, sublicense, assign, distribute, publish, host, or otherwise commercially exploit the Service, or make the Service available to any third party, except as expressly authorized by us.
Use the Service, or any output, data, model behavior, brand intelligence, insight, methodology, or documentation obtained from the Service, to build, train, improve, or benchmark any product, service, dataset, machine-learning or AI model that competes with, or is substantially similar to, the Service.
Use the Service to develop or offer a product or service that is competitive with Ingenius Studio.
Circumvent, disable, or otherwise interfere with any usage limits, security, authentication, rate-limiting, or access-control features of the Service.
Otherwise attempt to interfere with the proper working of the Service.
We reserve the right to investigate and take appropriate legal and technical action against anyone who, in our sole discretion, violates this section, including suspending or terminating accounts and reporting violations to law enforcement.
Fees and Payment
Purchases
If you wish to purchase any product or service made available through our Service ("Purchase"), you may be asked to supply certain information relevant to your Purchase, including without limitation your credit card number, the expiration date of your credit card, your billing address, and your shipping information.
You represent and warrant that: (i) you have the legal right to use any credit card(s) or other payment method(s) in connection with any Purchase; and (ii) the information you supply to us is true, correct, and complete.
We may employ the use of third-party services for the purpose of facilitating payment and the completion of Purchases. By submitting your information, you grant us the right to provide the information to these third parties subject to our Privacy Policy.
Where applicable, payments made for purchases on our platform may be facilitated directly between the buyer and the seller, and Ingenius Studio, Inc. may rely on trusted third-party payment processors to handle financial transactions. These payment processors maintain their own terms of service and privacy policies, which users are encouraged to review.
We reserve the right to refuse or cancel your order at any time for reasons including but not limited to: product or service availability; errors in the description or price of the product or service; error in your order; or other reasons.
We reserve the right to refuse or cancel your order if fraud or an unauthorized or illegal transaction is suspected.
Subscriptions
Some parts of our Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set on either a monthly or annual basis, depending on the type of subscription plan you select when purchasing a Subscription.
At the end of each Billing Cycle, your Subscription will automatically renew under the same conditions unless you cancel it or Ingenius Studio, Inc. cancels it. You may cancel your Subscription renewal either through your online account management page or by contacting the Ingenius Studio, Inc. customer support team.
A valid payment method is required to process the payment for your Subscription. You shall provide Ingenius Studio, Inc. with accurate and complete billing information, including full name, address, state, zip code, telephone number, and valid payment method information. By submitting such payment information, you automatically authorize Ingenius Studio, Inc. to charge all Subscription fees incurred through your account to any such payment instruments.
Should automatic billing fail to occur for any reason, Ingenius Studio, Inc. will issue an electronic invoice indicating that you must proceed manually, within a certain deadline date, with the full payment corresponding to the billing period as indicated on the invoice.
Fee Changes
Ingenius Studio, Inc., in its sole discretion and at any time, may modify Subscription fees. Any Subscription fee change will become effective at the end of the then-current Billing Cycle.
Ingenius Studio, Inc. will provide you with reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective.
Your continued use of the Service after a Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.
Refunds
Except when required by law, paid fees and Subscription fees are non-refundable.
Content Policy
Our Service allows you to post, link, store, share, and otherwise make available certain information, text, graphics, videos, or other material ("Content"). You are responsible for the Content that you post on or through the Service, including its legality, reliability, and appropriateness.
By posting Content on or through the Service, you represent and warrant that: (i) the Content is yours (you own it) and/or you have the right to use it and the right to grant us the rights and license provided in these Terms; and (ii) the posting of your Content on or through the Service does not violate the privacy rights, publicity rights, copyrights, contract rights, or any other rights of any person or entity. We reserve the right to terminate the account of anyone found to be infringing a copyright.
You retain any and all of your rights to any Content you submit, post, or display on or through the Service, and you are responsible for protecting those rights. However, by posting Content using the Service, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to use, host, store, modify, reproduce, publicly perform, publicly display, and distribute such Content solely as necessary to operate, provide, secure, and improve the Service.
Intellectual Property
The Service and all of its content (excluding Content provided by users), features, functionality, software, source code, object code, APIs, user interfaces, designs, text, graphics, logos, algorithms, models, model weights, prompts, prompt structures, workflows, brand intelligence, insights, analytics, methodologies, know-how, templates, and documentation, and all intellectual property rights therein, are and will remain the sole and exclusive property of Ingenius Studio, Inc. and its licensors. The Service is protected by copyright, trademark, trade secret, and other laws of the United States and foreign countries.
Except for the limited right to access and use the Service in accordance with these Terms, no right, title, license, or interest in or to the Service is granted to you, whether by implication, estoppel, or otherwise. All rights not expressly granted are reserved by Ingenius Studio, Inc.
Our name, the Ingenius and Ingenius Studio marks, our logos, and all related names, logos, product and service names, designs, trade dress, and slogans are trademarks of Ingenius Studio, Inc. or its affiliates. You may not use such marks without our prior written consent, and you may not use, register, or attempt to register any confusingly similar name or mark.
Any outputs, reports, deliverables, insights, or materials generated by or through the Service (excluding your own Content) are provided to you under the license granted in these Terms and remain subject to our intellectual property rights. You may not use such outputs to reconstruct, replicate, or derive our proprietary models, methodologies, or brand intelligence, or to train any competing model or service.
To the extent you provide, contribute, or are otherwise associated with any development, suggestions, or improvements to the Service (including Feedback), you agree that all such contributions and the intellectual property rights therein are and shall be exclusively owned by Ingenius Studio, Inc., and you hereby assign all such rights to Ingenius Studio, Inc.
Confidentiality
"Confidential Information" means any non-public information disclosed by Ingenius Studio to you, whether orally, visually, or in writing, that is designated as confidential or that reasonably should be understood to be confidential given its nature and the circumstances of disclosure, including the Beta Services, non-public features, pricing, methodologies, algorithms, and technical and business information. You agree to (i) protect Confidential Information using at least reasonable care, (ii) not use Confidential Information except as necessary to use the Service as permitted, and (iii) not disclose Confidential Information to any third party without our prior written consent. These obligations survive termination and continue for so long as the information remains non-public.

Our Service may contain links to third-party web sites or services that are not owned or controlled by Ingenius Studio, Inc.
Ingenius Studio, Inc. has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party web sites or services. We strongly advise you to read the terms and conditions and privacy policies of any third-party web sites or services that you visit.
Termination
We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.
Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including, without limitation, ownership provisions, intellectual property, confidentiality, feedback license, warranty disclaimers, indemnity, and limitations of liability.
Indemnification
You agree to defend, indemnify, and hold harmless Ingenius Studio, Inc. and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debts, and expenses (including but not limited to attorneys' fees), resulting from or arising out of: (a) your use and access of the Service, by you or any person using your account and password; (b) a breach of these Terms; (c) Content posted on the Service; or (d) your violation of any third-party right, including any intellectual property or privacy right.
Limitation of Liability
In no event shall Ingenius Studio, Inc., nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of, or inability to access or use, the Service; (ii) any conduct or content of any third party on the Service; (iii) any content or output obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
To the maximum extent permitted by applicable law, the total aggregate liability of Ingenius Studio, Inc. arising out of or related to these Terms and the Service shall not exceed the greater of (a) the amounts you paid to Ingenius Studio, Inc. for the Service in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100). This limitation applies regardless of the number of claims.
Disclaimer
Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
Ingenius Studio, Inc., its subsidiaries, affiliates, and its licensors do not warrant that: (a) the Service will function uninterrupted, secure, or available at any particular time or location; (b) any errors or defects will be corrected; (c) the Service is free of viruses or other harmful components; or (d) the results of using the Service will meet your requirements. Any content or output generated by the Service is provided for informational purposes and without warranty of accuracy, completeness, or fitness for any particular purpose.
Governing Law and Dispute Resolution
These Terms shall be governed and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. You agree that the exclusive jurisdiction and venue for any dispute arising out of or relating to these Terms or the Service shall be the state and federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms, together with any order form or agreement that references them, constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have had regarding the Service.
Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt to assign or transfer in violation of this section is void. Ingenius Studio, Inc. may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms bind and benefit the parties, their successors, and permitted assigns.
Changes
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Your continued use of the Service after revisions become effective constitutes your acceptance of the revised Terms.
