Brand Studio Beta Program — Supplemental Terms

These Supplemental Beta Terms ("Beta Terms") apply to participation in the Brand Studio by INGENIUS closed beta program (the "Beta") and supplement the INGENIUS Terms of Service. By clicking "I Accept" or accessing the Beta, you ("Tester") agree to these Beta Terms on behalf of yourself and any organization you represent. If these Beta Terms conflict with the Terms of Service, these Beta Terms control with respect to the Beta.
1. Beta Access and Scope
INGENIUS grants Tester a limited, non-exclusive, non-transferable, revocable right to access the Beta for internal evaluation purposes only, for the duration of the beta cycle communicated to Tester (the "Evaluation Period"). Access is limited to the seat(s) and profile(s) provisioned by INGENIUS for Tester's account. Login credentials are personal to Tester and may not be shared.
2. Evaluation Use Only
The Beta, and all outputs, scores, reports, data, and materials generated by or accessed through it ("Beta Outputs"), are provided for Tester's internal evaluation only. Tester shall not:
Use the Beta or any Beta Output for any commercial purpose, or in connection with any client engagement, pitch, or deliverable;
Present, display, distribute, or disclose any Beta Output to any client, talent, investor, or other third party;
Incorporate any Beta Output, in whole or in part, into any third-party product, service, framework, index, scoring system, methodology, or client-facing material;
Export, scrape, download, or systematically copy data or outputs from the Beta, except where an export function is expressly enabled for Tester's account;
Benchmark the Beta or publish any evaluation of it, or use the Beta to develop, train, or improve any competing product or service;
Reverse engineer, decompile, or attempt to derive the methodologies, models, weights, inputs, or data sources underlying the Beta.
3. Confidentiality
The Beta is confidential, pre-release software. The existence and contents of the Beta, all Beta Outputs, all pricing communicated in connection with the Beta, and all feedback exchanged, constitute INGENIUS's Confidential Information. Tester will protect Confidential Information with at least reasonable care, use it solely to evaluate the Beta, and not disclose it to any third party during and after the Evaluation Period.
4. Intellectual Property; No License
INGENIUS and its licensors retain all right, title, and interest in and to the Beta, the Beta Outputs, and all underlying technology, data, methodologies, and scoring frameworks. Participation in the Beta grants Tester no license, ownership, or other right in any INGENIUS intellectual property, whether by implication, estoppel, or otherwise, except the limited evaluation right in Section 1. INGENIUS's scoring frameworks and methodologies are trade secrets of INGENIUS; nothing in the Beta discloses, and Tester acquires no rights in, their inputs, weights, formulas, or logic.
5. Feedback
Tester agrees to provide reasonable feedback during the Evaluation Period, including any check-in or survey requested by INGENIUS. Tester assigns to INGENIUS all right, title, and interest in feedback, suggestions, and ideas provided in connection with the Beta, and INGENIUS may use them without restriction or compensation.
6. Term, Suspension, and Termination
Access automatically expires at the end of the Evaluation Period unless converted to a paid license on terms communicated by INGENIUS. INGENIUS may suspend or revoke Beta access at any time, with or without cause and without notice. Sections 2 through 5 and 7 through 9 survive expiration or termination.
7. Beta Disclaimer
THE BETA IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. BETA OUTPUTS ARE PRE-RELEASE, MAY BE INACCURATE OR INCOMPLETE, AND MUST NOT BE RELIED UPON FOR ANY BUSINESS, INVESTMENT, OR TALENT DECISION. INGENIUS'S TOTAL LIABILITY ARISING OUT OF THE BETA WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).
8. Conversion
Continued access after the Evaluation Period requires a paid license at the pricing communicated to Tester at the start of the beta cycle. No terms of any future license are agreed until set out in a signed order form or executed agreement.
9. General
These Beta Terms are governed by the laws of the State of Delaware, without regard to conflicts of law principles. Participation in the Beta is independent of, and without prejudice to, any other agreement, relationship, or matter between Tester (or its affiliates) and INGENIUS (or its affiliates). These Beta Terms may be updated for future beta cycles; the version accepted by Tester at login governs Tester's participation in the then-current cycle.
